By downloading, accessing, or using the Ping mobile application ("App"), the website at ping.gropad.com, or any related services (collectively, the "Service"), you ("User," "you," or "your") agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you and Gropad, Inc. ("Gropad," "we," "us," or "our"), the company that operates Ping.
Ping is an intelligent, city-wide discovery and intent-matching platform. Instead of browsing passive listings, you describe who or what you are looking for — or what you can offer — in natural language. This is called a "Ping." Ping continuously and automatically evaluates your intent against other users' active pings and profiles across your city (or, in the optional school-exclusive mode, within a selected school). When two intents align, both users are notified and can connect through direct in-app messaging.

By creating a ping, you authorize Ping to continuously compare your ping against other users' pings and profiles for the purpose of generating matches. Matches are generated algorithmically with the assistance of automated and AI-based systems. We do not guarantee the accuracy, quality, suitability, or outcome of any match, and a match does not constitute an endorsement of any user.
IMPORTANT: Ping is a platform that connects people only. We do not facilitate, process, control, or guarantee any transactions, payments, meetings, services, or exchanges that users arrange with one another.
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old.
To use the Service, you must create an account using a supported sign-in method (email and password, phone number, Apple, or Google) and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
We reserve the right to suspend or terminate your account at any time, with or without cause or notice, including if we believe you have violated these Terms.

Ping provides in-app tools to report and block users, pings, and messages you believe are inappropriate, unlawful, or objectionable. We review reported content and may remove it or take action against the responsible account. We aim to act on valid reports promptly.
PING DOES NOT FACILITATE, PROCESS, CONTROL, OR GUARANTEE ANY TRANSACTIONS BETWEEN USERS. Any arrangement, negotiation, payment, service, meeting, or exchange that results from a match occurs solely between the users involved, without any involvement from Gropad.
You acknowledge and agree that:
The Service and its original content, features, and functionality are owned by Gropad and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
By submitting content (including pings, messages, and profile information) to the Service, you grant Gropad a non-exclusive, royalty-free, worldwide license to host, use, reproduce, process, and display such content solely as needed to operate and provide the Service, including generating matches. You represent and warrant that you own or have the necessary rights to your content and that it does not infringe any third party's rights.
We respect intellectual property rights and will respond to clear notices of alleged infringement. To report infringement, contact us at info@gropad.com.
Your privacy matters to us. Please review our Privacy Policy, which explains how we collect, use, and disclose information about you. By using the Service, you consent to those practices.
The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee that the Service will be uninterrupted, secure, error-free, or that any ping will result in a match.
We do not control, verify, or endorse users or user content, and matches are generated algorithmically without any guarantee of suitability. You acknowledge that you may be exposed to content or users that are inaccurate, offensive, or otherwise objectionable, and you interact with other users at your own risk.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GROPAD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. GROPAD'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED $100 OR THE AMOUNT YOU PAID TO GROPAD IN THE 12 MONTHS PRECEDING THE CLAIM, WHICHEVER IS LESS.
GROPAD SPECIFICALLY DISCLAIMS ANY LIABILITY FOR:
You agree to defend, indemnify, and hold harmless Gropad, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, your violation of any third party's rights, your interactions with other users, or content you submit.
You may stop using the Service at any time and permanently delete your account directly in the App (Profile > Account Actions > Delete Account).
We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms, violation of law, fraudulent or harmful behavior, or extended inactivity.
Upon termination, your right to use the Service ceases immediately, and your account and associated data may be deleted, subject to any legal retention requirements.
These Terms are governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration rather than in court, except that either party may bring qualifying claims in small claims court.
Any arbitration or proceeding shall be limited to the dispute between you and Gropad individually. You waive any right to participate in a class action or class-wide arbitration.
These Terms constitute the entire agreement between you and Gropad regarding the Service and supersede all prior agreements and understandings.
We may modify these Terms at any time. We will notify users of material changes by posting the updated Terms and updating the "Last Updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
No waiver of any provision shall be deemed a further or continuing waiver. You may not assign or transfer these Terms or your account without our prior written consent; we may assign these Terms without restriction.
